Terms

Terms of Service

Effective 24 October 2026

These Terms describe access to Leptex, payment terms and the responsibilities of users and Leptex. Sections 14–16 address warranties, liability and claims.

1. The agreement

These Terms are between Lianda Labs LLC, a Washington limited liability company located in Bellevue, WA 98007, United States (Leptex) and the individual or organisation accepting them. A person accepting for an organisation must have authority to bind it.

You accept these Terms when you open a store, when you sign a Private agreement that refers to them, or when you otherwise indicate acceptance where they are presented to you. We keep a record of the version you accepted. Browsing this page is not acceptance.

In order of precedence, mandatory law applies first, then applicable mandatory transfer clauses, the agreed DPA for personal-data matters, your signed Private agreement, and these Terms. A Private agreement cannot reduce mandatory privacy protections.

2. Definitions

Service — the Leptex platform, including the merchant workspace, links, sites and their public pages, business search, the end customer portal, the Leptex mobile apps, connectors and related APIs.

Customer Content — materials you and your members upload or create in the Service, including documents, images, media links, catalogue items, store pages and reply instructions; conversations and messages under your links, store and public pages; customer, order and booking records; and what the Service derives from them, such as indexes, translations, summaries and analyses.

End Customer — a person who reaches a merchant's assistant through a link, a public page, or the end customer portal.

Allowance — the volume of AI work included in your Private agreement, metered over rolling windows.

Private agreement — the written agreement or order form, signed by you and Leptex, that sets the fees, term and allowances for your workspace.

3. The service and changes to it

We provide the Service under a written Private agreement. Its scope is set by that agreement and our documentation; the pricing page describes baseline allowances only and states no price.

We may improve, change or discontinue features. We will not materially reduce the core functionality of the Service during your agreement term without giving you notice and, where the reduction is material, the option to terminate and receive a pro-rata refund of prepaid, unused fees.

4. Accounts, members and security

You are responsible for all activity under your account, including that of members you invite into your workspace, and for keeping credentials secure.

You must give accurate registration information and keep it current. Notify security@leptex.com promptly of any suspected unauthorised access.

The minimum account age is 18. Mandatory consumer rights are not waived by these Terms, by an account label, or by a language preference.

5. Customer Content and the licence you grant

As between the parties, Customer Content is and remains yours. We claim no ownership in it.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, analyse, translate, reformat (for example, re-encode images), index (including by creating vector embeddings) and display Customer Content, solely to provide and support the Service, including business search as section 9 describes, and to comply with law. This licence ends when the content is deleted, subject to backup cycles described in our Privacy Policy.

You warrant that you hold the rights necessary to upload Customer Content, that it does not infringe any third party's rights, and that its processing through the Service does not breach any law or any duty you owe a third party.

We do not use Customer Content or end-customer conversations to train any model. The assistant's answers improve when you update your own materials and reply instructions, not through model training. We require every AI provider we use not to train models on customer data, and we send Customer Content to a provider only where its terms or settings make that exclusion. We remain responsible to you for our AI providers' compliance with this commitment, as the DPA provides, and we will enforce our agreements with them.

6. Acceptable use

You must comply with the Acceptable Use Policy published at leptex.com/legal/acceptable-use, which forms part of these Terms. It lists the goods, services and conduct that are not allowed, and what we may do when a store breaks it.

You must not: use the Service to produce content that is unlawful, deceptive, defamatory, or that impersonates another person or business; upload content you have no right to upload; attempt to defeat rate limits, allowances, tenant isolation, or any security control; reverse engineer the Service except to the extent that restriction is unenforceable by law; resell or provide the Service to a third party except as an integrated part of your own offering to your own end customers; or use the Service to build a competing product.

You must not use the Service to collect special categories of personal data, payment card data or health records, unless we have agreed in writing. End customers may still mention such information in a conversation; you must not ask for it without that agreement, and you must delete it when you no longer need it. The Service is not designed to meet the requirements of the US Health Insurance Portability and Accountability Act (HIPAA); if you are a covered entity or business associate, do not use the Service to create, receive, maintain or transmit protected health information unless we have signed a business associate agreement with you.

We may suspend access without notice where we reasonably believe conduct threatens the security, integrity or availability of the Service, or exposes us or another customer to legal liability. We will restore access as soon as the cause is resolved.

7. AI output: what it is and is not

Assistant replies are generated by AI from your materials. Output may be inaccurate, incomplete or misleading. You are responsible for reviewing output before relying on it, and in particular before using it in a quotation, a specification, a compliance statement, or any binding representation to an end customer.

Inferences the Service makes about an end customer's stage or intent are estimates presented to you for judgement. They are not statements of fact and must not be treated as such.

The Service is not a marketplace. Any contract of sale or service made through your store page or a link is between you and your end customer only. You are the seller for every sale; Leptex is not the seller and is not a party to that contract.

You are responsible for your store, your materials, and the goods and services you sell. Your materials include materials you create with the Service's tools, such as the replies the assistant gives your end customers on your behalf and the sections you write for your store's terms of service. Review them before you publish, and take professional advice where you need it.

The privacy policy and the terms of service shown on your store page are your own documents, issued in your name. The Service supplies a standard privacy policy and base terms of service as a template, and a summary of what the law of certain regions requires, as general information and not as legal advice. By opening your store you adopt those documents as your own, and you are responsible for making sure they are accurate and sufficient for your business and for the places where you sell. Leptex does not warrant that they are.

You must give a contact email and a location for your store's privacy policy, and a business address where the law requires one. They must be true, the email must be one you read, and you must answer the requests your end customers send to it. Leptex does not verify these details and is not responsible for a merchant that gives false ones or does not answer.

The Service translates your store pages, questions and store documents into other languages automatically. The version in your store's default language is the one you write; review translations in languages you read, and tell your customers which version governs where the law requires.

Nothing above excludes Leptex's own contractual obligations or any liability that applicable law does not allow to be excluded.

Identify AI-generated replies as AI-generated and human replies as human replies. Do not impersonate a person or claim that an AI-generated statement is a human-confirmed promise without their review and authority.

When you take over a link conversation, the assistant resumes if an end customer writes after you have not replied for 30 minutes. Messages sent through a connector or an external agent you authorise appear as your human replies; send only text you have reviewed and authorised.

8. Private agreements, allowances, fees and taxes

Fees, term and allowances are those stated in your signed Private agreement or order form. The pricing page shows baseline allowances and no price; your agreement may raise any allowance above its baseline and does not lower one.

Allowances are metered over the rolling windows described on the pricing page, and the included features and reset periods are set out in your agreement. Technical implementation details are not part of the public service description.

When an allowance is reached, the related AI work pauses until the window rolls forward: new messages on your links are kept for you to answer yourself, and public page visitors are asked to try again. We do not charge for usage beyond your allowances.

Separate pacing limits protect the Service, for example per link, per conversation and per network. A message over a pacing limit is not accepted, and the sender is asked to try again later; you can change a link's daily limit in the workspace.

Changes to fees or allowances. A change to your fees or allowances requires a written amendment to your agreement that you approve. The amendment must state the price, billing currency, taxes and timing.

Your agreement sets its term, invoicing and renewal. Fees are exclusive of VAT, GST, sales and similar taxes, which you must pay in addition, except taxes on our net income.

If a payment for your Private agreement remains unpaid after the payment retries described on your invoice, or the agreement ends, the workspace no longer has an active Private agreement and AI work pauses as the pricing page describes until payment is received or a new agreement starts. When an agreement ends without a new one, we close the workspace as section 17 and the DPA describe.

Termination and refunds. How either party may end the agreement, and any refund of prepaid fees, are set out in your agreement. Mandatory withdrawal and refund rights take priority over any non-refundable rule.

9. Business search, sponsored placements and advertising

When your store is published, Leptex may list it in business search on leptex.com and in Leptex apps, showing your store name, store type, web address, tagline and cover image and the names of products and services on your public pages, with a link to your store. To leave business search, pause or unpublish your store.

Business search may show a small number of placements labelled “Sponsored”. A store is shown as sponsored only with its merchant's agreement, and sponsored placements do not change the order of other results.

This marketing website contains no advertising trackers. Leptex does not use Customer Content or end-customer conversations for advertising, except to show a merchant's own store in a sponsored placement it has agreed to, and does not show advertising inside your store, links or conversations. Any other advertising, or any change of purpose for Customer Content, requires a separate assessment, appropriate notices and any legally required choices.

10. Data protection

Where Leptex processes personal data on a merchant’s behalf, the Data Processing Agreement published in Legal & privacy forms part of these Terms and applies to that processing.

Merchants are responsible for the lawful instructions and notices covering their content and conversations. Leptex remains responsible for its own applicable duties. Independent assistant processing for end customers requires its own documented role and basis.

The Privacy Policy describes processing for Leptex’s own purposes. Neither accepting Terms nor viewing a Privacy Policy supplies consent for unrelated optional marketing.

11. Intellectual property and feedback

We retain all rights in the Service, our software, models, documentation and brand. No rights are granted except the limited right to use the Service under these Terms.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.

12. Confidentiality

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers bound by equivalent duties.

This does not apply to information that is public through no breach, was already known without duty, or is independently developed. Disclosure compelled by law is permitted, with prior notice where lawful.

13. Third-party services

Some features rely on third-party providers. Independently chosen third-party services may have their own terms and notices. Using suppliers does not remove Leptex’s responsibilities under its agreement, the DPA or mandatory law.

If you connect your own Stripe account, payments from your end customers are processed by Stripe under your agreement with Stripe; Leptex takes no fee from those payments. You authorise Leptex to create checkout sessions on your account and to capture or cancel payment authorisations as you instruct in the Service, including cancelling an authorisation automatically when an order is not confirmed within the confirmation window shown in the Service. When we suspend your store under the Acceptable Use Policy, we may also stop new checkouts and cancel authorisations that have not yet been captured.

"Transfer service" means any third-party service, including, without limitation, Zelle®, Venmo and bank transfer, through which an end customer sends money directly to you and whose payment details the Service lets you display. You enter those details yourself; you warrant that the account belongs to you and may lawfully receive payments for goods or services, and you are responsible for keeping the details accurate. Leptex is not a party to payments made through a transfer service and provides no money transmission or payment processing: Leptex does not receive, hold, process, verify, guarantee, reverse or refund such payments and takes no fee from them. The Service only displays the details you entered, presents safety prompts to the end customer before displaying them, records that the end customer reported a payment, and records your confirmation that you received it. Your use of a transfer service is subject to that service's terms and to applicable law, including any restriction on receiving payments for goods or services through it and your tax obligations; any refund, dispute or liability concerning such payments is between you and your end customer, and section 16 applies. Leptex may add, remove or suspend the display of any transfer service at any time, including where that service's rules or the law require it. The names and logos of transfer services are trademarks of their respective owners; Zelle® is a registered trademark of Early Warning Services, LLC, and PayPal and Venmo are trademarks of PayPal, Inc. Leptex is not affiliated with, and is not sponsored or endorsed by, any of them.

14. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care and in accordance with its documentation.

Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that output will be accurate, complete or uninterrupted.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

15. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, however caused.

Each party's total aggregate liability arising out of or relating to these Terms is limited to the greater of the fees you paid or owed for the Service in the 12 months preceding the event giving rise to the claim and USD 100.

These limits do not apply to your payment obligations, either party's breach of confidentiality, your indemnity obligations under section 16, or liability that cannot lawfully be limited.

16. Indemnities

You will defend and indemnify us against third-party claims arising from Customer Content, your use of the Service in breach of these Terms, or your relationship with your end customers.

We will defend and indemnify you against third-party claims that the Service as provided by us infringes that party's intellectual property rights, provided you notify us promptly, give us control of the defence, and cooperate. This does not apply to claims caused by Customer Content, by output generated from your materials or instructions, by your modification of the Service, or by combining the Service with anything we did not provide. If the Service is held or likely to be held infringing, we may modify or replace it, or end the affected part and refund prepaid fees for it.

17. Term, termination and suspension

These Terms run while you hold an account. Your Private agreement sets its term, and access to the parts of the Service it covers ends as that agreement provides.

Either party may terminate for material breach not cured within 30 days of written notice. We may terminate immediately for breach of section 6 that we reasonably consider serious.

A workspace owner can ask us to close the workspace at any time by writing to support@leptex.com; we close it within five business days and confirm by email. Closing a workspace starts the deletion period in the DPA. The owner can delete their own account once the workspace is closed; other members can delete their accounts at any time.

While your workspace is open, you can view and delete your Customer Content in the Service. In line with section 9 of the DPA, we delete a closed workspace's Customer Content from our running systems no later than 90 days after the workspace is closed, unless the law requires us to keep it, and backups are kept for up to 14 days after that deletion and then expire. Account information is deleted as our Privacy Policy describes. Sections that by their nature should survive do so, including 5 (ownership), 8 (fees owed), 10 and the DPA (until deletion is complete), 11, 12, 14, 15, 16, 19 and 20.

18. Changes to these Terms

We may amend these Terms. For material changes we will give at least 30 days' notice by email or in-product before they take effect. Continuing to use the Service after that date means you accept them; if you do not, you may terminate before the change takes effect.

19. Notices, assignment and general

Notices to us go to sales@leptex.com. Notices to you go to your account email; notices about a workspace go to its owner's email.

You may not assign these Terms without our consent, not to be unreasonably withheld; either party may assign to a successor in a merger or sale of substantially all assets.

If a provision is unenforceable it is modified to the minimum extent necessary and the rest stands. A failure to enforce is not a waiver. These Terms, with the Acceptable Use Policy, the Privacy Policy, the DPA and your Private agreement, are the entire agreement and supersede prior discussions. There are no third-party beneficiaries, except as section 24 provides. Neither party is liable for delay caused by events beyond its reasonable control.

20. Governing law and disputes

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law rules.

The parties submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21. Open-source components

The pages Leptex serves, including merchant store pages, use open-source typefaces. Geist and Geist Mono (copyright 2023 Vercel, in collaboration with basement.studio; Google Fonts builds copyright 2024 The Geist Project Authors) are used for Latin text on leptex.com and in the Leptex workspace, portal and administration console. Schibsted Grotesk (copyright 2023 The Schibsted-Grotesk Project Authors) is used for Latin text on merchant store pages and chats. All three are licensed under the SIL Open Font License, Version 1.1. Leptex serves the web-font builds published by Google Fonts and Fontsource (subset and converted to WOFF2 by those projects) from its own servers and does not otherwise modify them.

The SIL Open Font License permits these typefaces to be used, studied, modified and redistributed freely, provided they are not sold by themselves. The licence text is available at leptex.com/fonts/geist/OFL.txt and is kept with each typeface in the Leptex source code.

Chinese, Japanese, Korean and other non-Latin text is rendered with the fonts installed on your own device; Leptex does not distribute any CJK typeface. The Leptex apps also include open-source software libraries, which are used under their own licences.

23. End customers and the end customer portal

This section applies when you use the Service as an End Customer, for example when you message a merchant, save a conversation to a Leptex account, or use the end customer portal. Where it conflicts with another section, this section governs.

Each merchant is responsible for its store, its replies and what it sells you, and any sale is between you and that merchant (section 7). Replies labelled as an AI assistant are generated by AI and may be inaccurate; confirm prices, availability and commitments with the merchant. If you pay a merchant through a transfer service displayed in its store, the payment is made between you and the merchant under that service's terms; Leptex does not receive, hold, verify, guarantee or refund it, the payment is complete when the merchant confirms receipt, and the store's terms of service govern any refund.

Your messages are shared with the merchant and its team, who handle them under the merchant's own privacy notice. When you save a conversation, Leptex links it to your account; the portal assistant answers your questions using only the conversations saved to your account. The Privacy Policy explains this processing and how to delete a conversation or your account.

Sections 3, 8, 10 and 16, the licence and warranties in section 5, and the parts of sections 4, 6 and 7 that concern members, stores, materials or merchants' duties, do not apply to you. You must be at least 18 and must not misuse the Service as section 6 describes. Section 15 applies to you with one change: Leptex's total liability to you is limited to the greater of the fees you paid Leptex in the 12 months before the claim and USD 100.

If you are a consumer, nothing in these Terms takes away rights you have under the mandatory consumer law of the country where you live, including the right to bring a claim in the courts there; section 20 applies subject to those rights.

24. Apps from the Apple App Store

If you use a Leptex app downloaded from the Apple App Store: these Terms are between you and Lianda Labs LLC, not Apple; Apple has no obligation to provide maintenance or support for the app; if the app fails to meet an applicable warranty, you may notify Apple, which may refund any price you paid for the app, and Apple has no other warranty obligation to the extent the law allows; Lianda Labs LLC, not Apple, is responsible for any claims relating to the app, including product liability, legal compliance and intellectual-property claims; you confirm that you are not located in a country subject to a United States embargo and are not on a United States list of prohibited or restricted parties; and Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your licence to use the app and may enforce them against you. Your use of the app must also comply with the App Store usage rules.

These Terms are published in English and Chinese. Where the two differ, the English version governs, unless mandatory local law provides otherwise.
