Terms of Service

These Terms of Service are entered into between 〈legal entity name〉 ("Leptex", "we") and the individual or entity accepting them ("Customer", "you"). If you accept on behalf of an organisation, you represent that you are authorised to bind it.

By creating an account or using the service you accept these Terms. If you do not accept them, do not use the service.

An Order Form or written agreement signed by both parties prevails over these Terms to the extent of any conflict. 〈confirm your order-form and DPA precedence with counsel〉

Service — the Leptex platform, including the seller workspace, share links, the buyer portal, and related APIs.

Customer Content — documents you upload, conversations produced under your share links, and derived indexes.

Buyer — a person who reaches your assistant through a share link or the buyer portal.

Allowance — the metered volume of Customer-initiated work included in your plan.

Placement — a sponsored card a Customer buys for display in the buyer portal.

We provide the Service on a subscription basis as described on our pricing page and in our documentation.

We may improve, change or discontinue features. We will not materially reduce the core functionality of a paid plan during a paid term without giving you notice and, where the reduction is material, the option to terminate and receive a pro-rata refund of prepaid, unused fees.

You are responsible for all activity under your account, including that of members you invite into your workspace, and for keeping credentials secure.

You must give accurate registration information and keep it current. Notify support@leptex.com promptly of any suspected unauthorised access.

You must be at least 18 and legally able to enter into contracts. The Service is not offered to consumers acting outside a trade or profession.

As between the parties, Customer Content is and remains yours. We claim no ownership in it.

You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, index, embed and display Customer Content solely to provide and support the Service, and to comply with law. This licence ends when the content is deleted, subject to backup cycles described in our Privacy Policy.

You warrant that you hold the rights necessary to upload Customer Content, that it does not infringe any third party's rights, and that its processing through the Service does not breach any law or any duty you owe a third party.

We do not use Customer Content to train third-party foundation models, and our model providers are contractually barred from training on it.

You must not: use the Service to produce content that is unlawful, deceptive, defamatory, or that impersonates another person or business; upload content you have no right to upload; attempt to defeat rate limits, allowances, tenant isolation, or any security control; reverse engineer the Service except to the extent that restriction is unenforceable by law; resell or provide the Service to a third party except as an integrated part of your own offering to your own buyers; or use the Service to build a competing product.

You must not upload special categories of personal data, payment card data, or health records unless we have agreed in writing to receive them.

We may suspend access without notice where we reasonably believe conduct threatens the security, integrity or availability of the Service, or exposes us or another customer to legal liability. We will restore access as soon as the cause is resolved.

Assistant replies are generated by a large language model grounded in your documents. Output may be inaccurate, incomplete or misleading. You are responsible for reviewing output before relying on it, and in particular before using it in a quotation, a specification, a compliance statement, or any binding representation to a buyer.

Inferences the Service makes about a buyer's stage or intent are estimates presented to you for judgement. They are not statements of fact and must not be treated as such.

You remain the party responsible for what your assistant tells your buyers. We provide the tool; the commercial relationship with your buyer is yours.

Fees and the allowances included with each plan are those stated on our pricing page at the time of purchase.

Customer-initiated work is metered against rolling 5-hour and 7-day windows. Capacity returns continuously as the oldest counted item ages out of the window.

We do not bill for overage. On reaching an allowance you may wait for the window to advance or upgrade. Your invoice will not exceed the plan you subscribed to.

Buyer questions arriving through your share links do not consume your allowance; we bear that inference cost, subject to rate limits that exist solely to prevent abuse. We may adjust those rate limits to protect the platform, and will not do so in a way that defeats normal buyer use.

Subscriptions renew automatically for successive terms unless cancelled before the renewal date. Fees are exclusive of VAT, GST, sales and similar taxes, which you must pay in addition, except taxes on our net income.

Fees are non-refundable except where these Terms expressly say otherwise or applicable law requires. 〈confirm refund, dunning and price-change notice periods with counsel〉

A Customer may buy a Placement. Placements appear only in the cross-merchant buyer portal and never on any seller's share link page.

Sponsored copy is written by the Customer who buys the Placement, who is solely responsible for its accuracy and lawfulness, including compliance with advertising and disclosure rules.

Placements never influence assistant output. Sponsored content is served on a separate request and is never supplied to a model.

We label every Placement as sponsored and as containing AI-generated material. We may reject or withdraw any Placement, and we will refund the unused portion of a fee for a Placement we withdraw for reasons other than your breach.

Where we process personal data on your behalf we do so as processor under our Data Processing Agreement, which is incorporated into these Terms by reference. Where we act as controller, our Privacy Policy applies.

You are the controller of conversations conducted under your share links and are responsible for giving your buyers any notice their law requires.

Data Processing Agreement: 〈DPA URL or execution route〉

We retain all rights in the Service, our software, models, documentation and brand. No rights are granted except the limited right to use the Service under these Terms.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers bound by equivalent duties.

This does not apply to information that is public through no breach, was already known without duty, or is independently developed. Disclosure compelled by law is permitted, with prior notice where lawful.

The Service depends on third-party model providers, hosting and payment services. We are not responsible for their acts or omissions beyond our own contractual commitments, and interruptions attributable to them are not a breach of these Terms.

We warrant that we will provide the Service with reasonable skill and care and in accordance with its documentation.

Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that output will be accurate, complete or uninterrupted.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, however caused.

Each party's total aggregate liability arising out of or relating to these Terms is limited to the fees you paid or owed for the Service in the 〈period, commonly 12 months〉 preceding the event giving rise to the claim.

These limits do not apply to your payment obligations, either party's breach of confidentiality, your indemnity obligations under section 16, or liability that cannot lawfully be limited.

You will defend and indemnify us against third-party claims arising from Customer Content, your Placements, your use of the Service in breach of these Terms, or your relationship with your buyers.

We will defend and indemnify you against third-party claims that the Service as provided by us infringes that party's intellectual property rights, provided you notify us promptly, give us control of the defence, and cooperate. 〈confirm the IP indemnity scope, exclusions and remedies with counsel〉

These Terms run while you hold an account. You may cancel at any time; your plan stays active through the period already paid for and then reverts to the free plan.

Either party may terminate for material breach not cured within 30 days of written notice. We may terminate immediately for breach of section 6 that we reasonably consider serious.

On termination we will make Customer Content available for export for 30 days, after which we may delete it in line with our retention schedule. Sections that by their nature should survive do so, including 5 (ownership), 11, 12, 14, 15, 16 and 20.

We may amend these Terms. For material changes we will give at least 30 days' notice by email or in-product before they take effect at your next renewal. Continuing to use the Service after that date means you accept them; if you do not, you may terminate before the change takes effect.

You may not assign these Terms without our consent, not to be unreasonably withheld; either party may assign to a successor in a merger or sale of substantially all assets.

If a provision is unenforceable it is modified to the minimum extent necessary and the rest stands. A failure to enforce is not a waiver. These Terms, with the Privacy Policy, the DPA and any Order Form, are the entire agreement and supersede prior discussions. There are no third-party beneficiaries. Neither party is liable for delay caused by events beyond its reasonable control.

These Terms are governed by the laws of 〈governing law〉, without regard to conflict-of-law rules.

The parties submit to the exclusive jurisdiction of the courts of 〈venue〉. 〈decide with counsel whether to use arbitration instead, and whether a class-action waiver is enforceable in your target markets〉

The United Nations Convention on Contracts for the International Sale of Goods does not apply.
